OpenAI has intensified its legal battle with Elon Musk by filing a countersuit, accusing him of employing unlawful and unfair tactics to undermine the company's restructuring plans. The countersuit, filed in a California federal court, alleges that Musk has engaged in a campaign of "harassment, interference, and misinformation" against the AI super-lab.

At the heart of the dispute is Musk's attempt to acquire OpenAI for $97.375 billion in February, which OpenAI has dismissed as a "sham" designed to disrupt its corporate restructuring. OpenAI claims that Musk's offer lacked evidence of financing and that investors listed in the letter of intent had not conducted due diligence.

OpenAI's decision to transition its for-profit arm into a public benefit corporation (PBC) has also drawn scrutiny. While Musk alleges this move violates OpenAI's original mission, OpenAI maintains that it is essential for remaining competitive in the AI sector. The trial is scheduled for March 2026.
